1. The following terms and conditions govern the entire process for the opportunity to feature in the reality television show (including auditions and other pre-telecast stages) tentatively titled “STAR SINGER - Season 9” (“Show”) through a contest titled as “STAR SINGER – UAE TALENT HUNT”) (“Contest”) and shall be binding on each participant (“Participant”, “your” and/or “you”) residing in the United Arab Emirates (hereinafter referred to as “Territory”) who voluntarily desires to participate in the Contest hosted by Star Asianet Middle East FZ LLC (“Company”) for the purpose of selection and performance of Participants in the Show/Vignettes to be aired on, inter alia, the Company and/or its affiliates’ network of channels including Asianet ME and/or any other channel as deemed fit by the Company (the “Channel(s)”).

2. The Terms and Conditions, Privacy Policy, are incorporated herein by reference and are simultaneously available at [https://www.disneystar.com/legal-terms-policies/terms/contest-terms-conditions/privacy-policy-star-singer-contest-asianet-middle-east-1/] (“Website”). By proceeding further, you are representing to the Company that your participation in the Show and/or the Contest is in compliance with all laws applicable to you and you are not in any manner prohibited from participating herein by any law.

3. These Terms and Conditions governing participation in the Contest, uploaded on the Website shall be irrevocably binding on Participants voluntarily participating in the Contest. The Privacy Policy shall govern all usage of any Personal Information (defined below) and/or any other information as detailed in the Privacy Policy and including but not limited to the mobile phone number and/or any information gathered by the Company under or pursuant to the Contest and in relation to your participation in the Contest and/or Show. You agree that your act of participating in the Contest and/or Show in the manner as detailed below shall be deemed to be your absolute acceptance of these terms and conditions and Privacy Policy as may be updated from time to time at the Company’s sole discretion (hereinafter collectively referred to as “Terms and Conditions”). If you do not agree to be bound or cannot comply with any of the Terms and Conditions, please do not continue. Your failure to accept these Terms and Conditions or any part thereof will disqualify your participation in the Contest and/or Show.

4. The Contest shall be governed by the Terms and Conditions, and by entering the Contest, each Participant acknowledges that they have read and understood, and unconditionally agree to comply with and abide by these Terms and Conditions. It is clarified that the Company’s decisions on all matters relating to the Contest shall be final and binding in all respects and shall not be subject to any appeal of any nature whatsoever.

5. The Privacy Policy available at the Company’s website shall govern all usage of any personal information and/or any other information as detailed in the Privacy Policy, including but not limited to, information in relation to your participation in the Contest, gathered under, or pursuant to this Contest by the Company (if any).

6. By participating in the Contest, you are authorizing Company, and its’ affiliates, agents, assigns to contact you using automatic telephone dialing systems, automatic texting systems and artificial or pre-recorded messages, including without limitation IVR’s and hotlines. By participating in the Contest, you also represent that you are the owner or customary user of the mobile phone number, including email id from which you participated in the Contest. You understand and acknowledge that your telecom service provider may impose standard internet charges as per applicable rates as well as premium charges on you for visiting the website/ access of Social Media Page (as defined hereinafter) for participating in the Contest, which shall be borne solely by you.

      I. Definitions

(i) “Production House” means the production house (if any) engaged by the Company for the production of the Show and/or the Contest, as applicable.

(ii) “Episode” means each episode of the Show, including any special episodes.

(iii) “Studio” means any location deemed fit by the Company for filming the Show.

(iv) “Intellectual Property Rights” means any and all current or future intellectual property rights, including, without limitation, patents, trademarks, trade names and domain names, service marks, rights to inventions, copyright (including in relation to performances or performed works) and related rights, rights in logos and get-up, rights in goodwill, unfair competition rights, rights in designs (whether held in physical or electronic format or otherwise howsoever), database rights, privacy rights, trade secrets, know-how and any other intellectual property rights, in each case whether registered or unregistered and including all applications (and rights to apply) for, and renewals, reversions or extensions of, such rights and similar or equivalent rights or forms of protection in any part of the world. The term “Intellectual Property” shall have the correlative meaning.

(v) “Works” shall mean and include the audio-visual footage/clip submitted by the Participant(s) as part of the Entry, any form of artistic works, works of authorship, performances and services by the Participant(s) or compilation, data which is developed, created, discovered, invented, or otherwise brought into existence by the Participant(s) during the course of the Contest and Show and any other Intellectual Property created/ generated by the Participant(s) during the course of participation in the Contest and/or Show (including at the audition stage).

(vi) “Exploitation/Exploit” shall mean the exploitation of the Works including along with its cognate forms and grammatical variations, means and includes the exploitation, use, alteration, broadcast, rebroadcast, communication, encryption, transmission, translation, adaptation, publication, cutting, editing, and packaging of the Intellectual Property vested in the Works, either in whole or in part, in any form/format or language, as may be decided by the Company in its sole discretion and shall include incorporation of the Works including performances during the Contest and in the Show or any audio visual recording or sound recording or as may be decided by the Company in its sole discretion as well as the conversion of the Works from one form/format to another and in relation to the Works, making of a Cinematograph Film or Sound Recording, Communication to the Public, Broadcast, Performance in Public, adaptation, reprography, reproduction, distribution, sale, commercial rental, assignment, licensing, merchandising rights, remakes, sequels, prequels, versions, translations, dubbing and/or subtitling in any all languages/dialects in the world, converting the Works for theatrical exploitation, including but not limited to the broadcasting thereof by any form of radio, internet and any and all form of television including but not limited to terrestrial, satellite, direct to home, cable, IPTV, any form of video on demand (including but not limited to Pay-per-View, NVOD, SVOD, PVOD, FVOD made available for being seen or heard or delivered or exploited through wire or wireless including but not limited to internet, websites including but not limited to social networking websites, blogs, internet or mobile streaming or download services (whether free, pay or subscription based) computing and networking devices, mobile /telecommunication system based platforms, mobile TV, theatrical or non-theatrical or any other means whether now known or existing or in commercial use or hereinafter invented or developed in the future in and to the Intellectual Property and all elements thereof. Where applicable, the capitalized terms ‘Broadcast’, ‘Communication to the Public’, ‘Cinematograph Film’, ‘Performance /Perform in Public’, ‘Sound Recording’, ‘Visual Recording’ shall have the same meanings as defined in the Copyright Act (Cap. 63) as amended from time to time and all analogous rights subsisting under the laws of each and every jurisdiction throughout the world.

II. Participation Mechanism:

The Company shall publish an announcement for participation in the Contest on the Channel(s), on the Channel’s social media pages on Facebook (“Social Media Page”), and/or in any other manner as the Company may deem fit, at its sole discretion. The Contest shall commence tentatively from and shall conclude on the dates specified in the Contest promos (“Period”). Any change in the Period will be communicated by Company via the Channels and Social Media Page and/or such other mode of communication at the sole discretion of Company. The Contest shall be carried out as per the following 3 phases:

PHASE 1:

(i) Company shall announce call for participation in the Contest by airing Contest promo across the channel “Asianet ME” and Social Media Page.

(ii) To register and to participate in the Contest, the interested Participant, who meet the eligibility criteria (detailed under Section (IV) (i) below) shall email his/her entry in the form and manner required by the Company, which shall include a video of the Participant singing any Malayalam song of his/her choice (“Entry”). Each Entry shall have a minimum duration of 120 (one hundred twenty) seconds. The Entry must be submitted during the Phase 1 of the Period.

(iii) For the Entry to be complete and valid (a) Participant(s) must submit/provide the Participant’s name, contact number starting with ‘+971’ (i.e. a number starting with UAE country code) and any such other information that the Company may require, as part of the email communication by which the video is submitted ; and (b) the individual person performing/featured and the person submitting the Entry must be the same. The submitted Entry must be easily understandable and audible.

(iv) All Entries must be emailed to star.marketing.me@disney.com. The content or format of the Entries requested may be modified by the Company at any time at Company’s sole discretion and notified to the Participants. All Entries will need to be submitted during the Phase 1 of the Period. For the avoidance of doubt, it is clarified that any Entry submitted after the Phase 1 of the Period will not be considered for the purposes of participation in the Contest. However, the Company may, in its sole discretion, extend the Phase 1 of the Period. Company shall not be responsible and/or liable in any manner whatsoever for any acts or omission of any third-party service providers, including failure in receipt of/ delivery of any messages, email including network problems (including unclear network), breakdown of machinery, disruption in the network and/or the internet /network costs charged by the telecom/mobile/network operator etc. that the Participant may incur while participating in the Contest. For the avoidance of doubt, Phase 1 of the Period shall commence and conclude on the dates specified in the Contest promos. Any change in the Phase 1 of the Period will be communicated by Company via the Channels and Social Media Page and/or such other mode of communication at the sole discretion of Company.

PHASE 2:

(i) All Entries received during Phase 1 of the Contest will be judged by the Panel (defined below), and the Panel shall select 1 (one) Participant as the winner (“Winner”).

(ii) The Winner will be selected based on the Participant’s performance in the Entry.

(iii) The Company reserves the right to record the Winner’s interaction with the Panel and additional rounds of the Contest (if any), including the process towards selection of the Winner, into an audio-visual program and exploit the same across all modes, mediums and formats, whether now known or later devised for the territory of the whole world and in perpetuity.

(iv) If any Winner is unable to make themselves available in connection with the Contest, the Company reserves the right to disqualify such Winner. The Panel shall then, at their sole discretion, select 1 (one) Participant to be the Winner, who shall qualify to perform in the Show.

PHASE 3:

(i) The Winner will win a chance of a special performance in the Show. Company reserves the right to determine the Episode and/or Vignette in which the Winner’s special performance will be incorporated and Winner unconditionally agrees to not raise any dispute in relation to the same. Where “Vignette” shall mean audio-visual content featuring inter alia the Winner, which shall not be a part of the Show, and may be used by the Company and/or third parties for the promotion of the Contest and/or the Show and/or for any other reasonable use.

GENERAL:

(i) Company shall not be responsible for any Entry submitted but not received or recorded due to any reason whatsoever. Without limiting the generality of the foregoing, the Company shall not be responsible for technical errors of any nature whatsoever that result in an Entry not being received. Any automated receipt of confirmation does not constitute proof of actual receipt of the Entry.

(ii) Only one eligible Entry received from eligible Participant(s), during the Phase 1 of the Period, will be considered for the Contest. Each Participant represents that the Entry is authentic and not fabricated for the purposes of the Contest.

(iii) The details of all Participants and the Entries shall be viewed and evaluated by the representatives/judge(s) as may be appointed by the Company (“Panel”) based on criteria(s) determined by the Panel and/or Company at its sole discretion, which criteria will include song delivery, pitch, voice, clarity, fluency and preparation. The Panel shall tentatively include Mr. Kannur Shareef and Mr. Midhun Jayaraj. Company reserves the right, at its discretion, to change the members of the Panel.

(iv) In the event that a particular Participant has sent more than 1 (one) Entry, only the first Entry will be considered by the Panel. The decision of the Company with regard to the composition of the Panel shall be final and binding on the Participants. Further, the decision of the Panel and/or Company in evaluating the Entries submitted by the Participant(s) shall be final and binding on all Participant(s) and shall not be subject to any appeal of any nature whatsoever. The Participants shall not be entitled to dispute and/or challenge the composition or the decision of the Panel at any time in connection with the selection procedure, to the maximum extent permitted by law.

(v) The Company and/or the Production House shall reach out to the Winner and the Winner shall be required to do the following: (i) sign document(s) containing the terms and conditions for performing in the Show/featuring in Vignettes if so requested by the Company and/or Production House along with such other documents as required by the Company and/or Production House at its discretion, (ii) make themselves available to record and send multiple videos of themselves singing Malayalam songs for different phases of the Contest/ Show using mobile phone recording or Zoom call recording or in such other manner as may be informed by the Company from time to time and as decided by the Company at its sole discretion, during the schedule of the Contest/ Show, or if need arise; (iv) be present at the Studio designated by the Company, at the time and date communicated by the Company. In addition to the foregoing, the Winner must always be present at the Studio at the time and date communicated by the Company and/or Production House. Being absent at the Studio at a time and place communicated to the Winner may result in such Winner’s disqualification from the Show at the sole discretion of the Company and Company reserves the right (but not the obligation) to select an alternative Winner.

(vi) The Selected Participant(s) will be contacted through the contact details provided with the Entry. In case the Participant selected as a Winner (“Shortlisted Winner”) is unable to verify their eligibility details, the said Participant shall be disqualified from the Contest, at the sole discretion of the Company.

(vii) In the event, such announcement of Winner(s) is postponed and/or cancelled for any reason whatsoever, the Company will not be held responsible for and there shall be no announcement of Winners on any public forum or otherwise. In the event that the Company is of the opinion none of the Participants are eligible to be selected as the Winner, then the Company may exercise its discretion not to select any Winner.

(viii)The Company shall not be responsible if the Shortlisted Winner is not available at the contact details provided by them in the Entries and as a result of which such Shortlisted Winner loses their chance to participate in the Show/feature in the Vignettes. The Company shall make only one (1) attempt to reach the Shortlisted Winner. In case they do not revert within 2 (two) days from the date of Company’s communication, the selection shall be invalidated, and the Company shall not be liable to such Shortlisted Winner in any manner whatsoever. For the avoidance of doubt, it is clarified that if a Shortlisted Winner’s selection is invalidated due to their non-response to the Company’s communication, the Company shall have the right (but not the obligation) to shortlist the next eligible Participant as the Winner.

(ix) Participants agree and acknowledge that the Winner selected in this Contest shall not be entitled compete or participate in the Show as contestant, and will only qualify for one or more performances as determined by the Company.

(x) Participating in the Contest does not entitle Participant to receive any prize, gratification, compensation, monetary or otherwise from Company under any circumstances whatsoever.

(xi) If any Participant (including Shortlisted Winner and Winner) engages in any behaviour that the Company in its sole discretion believes to be prejudicial to the spirit of the Contest, it will result in such Participant’s disqualification from the Contest and the chance to perform in the Show.

(xii) All costs incurred by Winner including for travel to and from the Studio, boarding and lodging for the performance in the Show shall be the sole responsibility of the Winner.

(xiii)All decisions of the Company shall be final and binding and shall not be subject to any appeal of any nature whatsoever. To the extent permitted under applicable laws, entry in the Contest shall be construed to mean that the Participant(s) has(ve) waived their right to dispute any decision(s) made by the Company.

(xiv) The Company reserves the right to withdraw the Contest and/or Show at any time for any reason whatsoever.

(xv) The Participants acknowledge that they have voluntarily chosen to participate in the Contest of their own free will and are willing to bear all risks, costs and consequences arising from such participation in the Contest and/or Show.

(xvi) The Participants shall not have any claim against the Company, Panel, Production House or other Participants for any reason whatsoever. The Company or vendors connected with the Contest and/or Show shall not be responsible for any such eventuality and the Participant(s) shall not be entitled to claim any compensation from the Company, Panel, Production House or other Participants.

(xvii) For the avoidance of doubt, it is clarified that the final selection of the Participants by the Panel/Company shall be final and binding on all the Participants. In the event of any fault, misunderstanding or dispute concerning any part of the selection process to qualify as a Winner, the decision of the Company shall be final and binding. The Company will not be liable for any non-selection of a Participant due to technical faults in the Entry and failure/inability to submit Entry for any reason whatsoever.

III. CONSENT FOR PROCURING PERSONAL INFORMATION

1. In connection with participating in the Contest organized by the Company you hereby provide your consent for collection, storage, use, transfer and retention of your personal information and sensitive personal data or information as defined under applicable laws, as may be amended from time to time (collectively, “Personal Information”), which Personal Information is subject to the Company’s personal data privacy policy available at [https://www.disneystar.com/legal-terms-policies/terms/contest-terms-conditions/privacy-policy-star-singer-contest-asianet-middle-east-1/] (“Privacy Policy”), which you have read and understood. Additionally, you agree to, and understand the terms and conditions set out below:

(a) Your Personal Information (including but not limited to your name, age, your username, location/city, email ID, phone number and address) may be collected by the Company pursuant to the Terms and Conditions, in connection with the Contest. You hereby also agree that it may be/ become necessary for the Company to collect the Personal Information in connection with your participation in the Contest and for the uses set out below.
(b) Your Personal Information will be collected, retained, and used by the Company only for the Contest and for promotional purposes around the Contest, including sharing of Your Personal Information with third party service providers involved in providing IT services.
(c) Your Personal Information may be used for the Contest, in various formats and media, including television, digital, social media, print for marketing and promotional activities in respect of the Contest on the Website.
(d) The Company has informed you of your rights to: (i) review your Personal Information for deficiencies and inaccuracies, and request the Company to amend the Personal Information, to the extent deemed feasible by the Company; and (ii) withdraw the consent provided hereunder, provided that the Company shall not be liable for any collection, storage, use, transfer or disclosure of Personal Information prior to such withdrawal of consent or request for amendment of Personal Information. Additionally, upon any such withdrawal of consent or request to review and amend your Personal Information, the Company shall be entitled to disqualify your Entry and/or participation in the Contest, as deemed fit and necessary by the Company at its sole discretion.
(e) All your Personal Information is true, correct and complete in all respects, and in no circumstances will the Company be liable for either the authenticity of the Personal Information or any inaccuracies or deficiencies in your Personal Information.
(f) Company has provided you with the option to opt out of providing your Personal Information.
(g) You expressly acknowledge that your Personal Information may be shared by Company with law enforcement agencies and/or other applicable authorities for compliance with legal obligations.
(h) You hereby agree to abide by the Terms and Conditions.

IV. GENERAL RULES

(i) Participants’ Eligibility

       To participate in the Contest the Participant(s) must comply with the below: 

1. Participant(s) shall be proficient in singing in Malayalam and shall also have conversational fluency in the language. 

2. The Participants must be individual residents of the Territory and must submit valid proof of residence of the Territory, as and when required by Company and are not citizens of any sanctioned country (where sanctioned country means Belarus, Burma (Myanmar), Crimea, Cuba, Democratic Republic of Congo, Iran, Ivory Coast, Liberia, North Korea, Somalia, Sudan, Syria, Zimbabwe and any other country against whom the U.S. economic sanctions Shows are or may be maintained by the U.S. Government, as may be updated from time-to-time). 

3. The Contest is exclusively for individual participants and is not open to participation by groups or bands. 

4. The Participant(s) represent and warrant that they are not on any Specially Designated Nationals and Blocked Persons list issued by the US Treasury Department’s Office of Foreign Assets Control. 

5. The Participant(s) must be aged 18 (Eighteen) years or above as on the start date of the Period. 

6. The Contest is not open to employees of the Company (permanent or contracted), any related advertising agency or any other agency or third-party vendor which has been appointed from time to time, or employees of the main sponsors and members of their immediate family. 

7. It is clarified that Participant(s) who have previously participated or are currently participating in singing-based reality shows broadcast/telecast on any satellite channel, will need to mandatorily inform the Company about such participation prior to participating in this Contest. The final decision whether to select such Participant(s) for the Contest and the Show shall vest with the Company. 

8. The Company reserves the right to verify the eligibility of all Participants. The Participants may be required to furnish necessary supporting documentation in certified or original copy (i.e., birth certificate or passport) and/or any other documentary proof as may be required by the Company to confirm the eligibility of the Participants at any stage of the Contest and/or Show. 

9. In the event the Participant is found to be in violation of any applicable laws or non-conformance by the Participant(s) with any and all of the terms set out herein or as may be set by the Company from time to time, at any point of time during the Contest , the Company reserves the right to disqualify the Participant immediately and their Entry shall be considered null and void. Such disqualified Participant shall not be eligible to proceed further in the Contest and/or Show. 

10. The Participant(s) should not be subject to any restriction, or have an arrangement or a contract that prevents the Participant(s) from participating in the Contest and/or Show. The Participant(s) should be legally eligible, as per the laws of the jurisdiction to which the Participant(s) is (are) subject, to enter into a contract. 

(i) The Participant(s) shall ensure that the Entry is original, decent and is not immoral, obscene, defamatory, derogatory, abusive, offensive, insensitive, libelous or blasphemous to any person nor does it violate the right to privacy of any person and does not feature any nudity or prohibited content. Additionally, the background of the Entry shall be clear from political symbols, overt displays, or anything that could be deemed offensive, and the Participants must not be dressed in clothing containing any controversial statement(s) or symbol(s). The Participant(s) hereby agrees and confirms that the Entry is in compliance with all applicable laws of the Territory and agrees to keep the Company, Company Entities and/or Sponsors indemnified from any claim thereto.

(ii) The Participant(s) agrees that the Entry shall be free of any virus/trojans/spyware/malware or any such program which may harm the recipient’s computers/ system/servers etc. or contain any links which are intended to harm and/or provide unauthorized access to the recipient’s computer and the data therein.

(iii) The Participant represents to the Company that the Participant is free and competent to enter the Contest; the sole, absolute, unencumbered legal and beneficial owner of all rights granted to Company respect of the Entry, the Works and any other materials that it may provide to the Company, is not under any disability, restriction or prohibition, whether legal, contractual, physical, mental, medical or otherwise, which might prevent the Participant from performing or observing any of the obligations undertaken or from honouring any of the Terms and Conditions stated herein.

(iv) Additional Terms 

1. You agree and acknowledge that You are not required to make any payments to Company for participating in the Contest. However, You understand and acknowledge that Your telecom service provider/ internet service provider may impose certain charges on You for use of their applicable services in relation to Your participation in the Contest, which shall be borne solely by You. Company recommends You check with Your service provider for schedule of charges that may apply. 

2. The Company excludes its liability to the Participants to the maximum extent permitted by law, including, without limitation, in relation to any injury, illness, infection, disease, sickness, death, emotional and/or mental trauma caused to the Participant(s) in any manner whatsoever or for any reason whatsoever in connection to the Contest and/or Show and/or any aspect related to the selection process. 

3. All Participants acknowledge that a degree of fictionalization is inherent in the Show. Due to the aforesaid nature of the Show, there may be segments in the Show which may depict the Participants in an unfavorable manner. The Participants fully understand and agree to this aspect of the Show and shall not take any action (legal or otherwise) against the Panel, the Company, Production House, sponsors or any other Participant(s) in relation to their depiction (if any) in the Show, to the maximum extent permissible by law. 

4. The Company reserves the right to terminate/postpone the Show and/or Contest at any time without any prior intimation or notice to the public/Participants. The Company is not obligated in any manner whatsoever to compensate any person or persons who have participated in the shortlisting/selection process and/or accommodate any person or persons who have been shortlisted/selected. 

5. The Participants must be in a physically, emotionally, and mentally fit condition to participate in the Contest/ Show. The Participants further confirm that they are medically fit to travel anywhere and anytime and that they do not suffer from any kind of ill health, disease, ailment(s) and medical problems that might render them incapable of participating in the Contest and/or Show or that may pose a health risk to the Panel, other Participants or any other representatives of the Company or Production House. 

6. The Company also reserves the right to change the selection process of the Contest and/or format of the Contest (in any manner whatsoever as deemed fit) stated herein and/or the requirements and/or eligibility criteria of the Show, without any prior intimation to the Participants and/or the public. It shall be the sole responsibility of the Participant(s) check the Terms and Conditions on the website of the Company and the Social Media Page. 

7. The Participants must submit their Entries voluntarily and only on their own behalf featuring themselves and any entry(ies) by proxy will not be accepted. 

8. In the event of any fault, misunderstanding or dispute concerning any part of the Contest and/or Show and/or the selection process to qualify for the Contest, the decision of the Company shall be final and binding on each Participant. 

9. The Participants shall not, during their participation in the Contest (including during the auditions) and/or the Show/Vignettes, as the case may be, make any obscene gesture(s)/acts, immoral, obscene, derogatory or any defamatory statement of any event or any person alive or deceased, material, or anything of an advertising nature. All Participants shall ensure that their actions, Works and Entries does not contain any element which is: (a) immoral in nature; and/or (b) dangerous to life or prejudicial to the health, physical fitness and kind treatment of any person and/or (c) infringes any patent, trademark, copyright or other proprietary rights; or violates any law for the time being in force. 

10. The Participants (including the Winner) shall not grant or publish any interviews, publish any information/details news articles, or issue any other kind of press or public release concerning their participation in the Show and/or Contest without the Company’s prior written consent in each instance. 

11. The Participants (including the Winner) shall not do any act either directly or indirectly which may bring the Company and/or its affiliates, the Channel(s), the Panel, the Production House, Contest and/or the Show into public disrepute or denigrate any of the preceding, or offend any community or public morals and in all public appearances the Participants (including the Winner) shall use their judgment in general demeanour and choice of language to create an atmosphere which would be conducive to the filming and/or promotion of the Show. 

12. If the operation of the Contest (including without limitation the operation of the telephone system, internet networks etc.) and/or the Show; the recording; broadcast of any/all of the Episodes is prevented by an war, industrial action, satellite failure, flood or any Act of God, epidemic/pandemic or applicable law or any act beyond the reasonable control of the Company (“Force Majeure”) which continues for a period of 15 (fifteen ) days, then the Company may at its sole discretion cancel all or any part of the Contest and/or Show and/or participation of Participants forthwith and such decision shall be final and binding on the Participants. 

13. The Company reserves the rights to terminate or temporarily suspend the Contest and/or Show at any time, with or without notice, for any reason whatsoever. 

14. Nothing in this Terms and Conditions imposes an obligation on the Company to incorporate, utilize the Works and/or Footage (defined below) in the Show or otherwise exploit the Contest and/or Show. 

15. The Participants specifically agree, allow, grant and permit the Company or any party authorized by it to record (audio-visual, audio or video footage) the participation process/performance, including the acts and performances, any interaction of the Participants with the Company, the Panel or fellow Participants or any representative of the Company, if any, of the Participant(s) captured during the Contest and/or Show or any part thereof or any related series of sound recordings and video recordings which have been shot during the Contest and/or Show on film, tape or digital or other electronic media and includes recording of any personal questions or conversations relating to the personal lives of the Participants (“Footage”) and agree that the Footage may be used by the Company as it deems fit anywhere in the world at any time now or in the future, including but not limited for promotion of the Show. For the avoidance of doubt, all rights in the Footage vests exclusively with the Company worldwide in perpetuity and the Company is entitled to exploit the same in any manner it may deem fit. 

16. In consideration of mutual covenants and promises between each Participant, the Participants agree, represent and warrant that all Intellectual Property Rights in and to the Works shall remain the exclusive property of the Company from the moment they arise, for the entire period of their subsistence, in every part of the world. To the extent, that the Intellectual Property Rights or any rights, title and interest in the Works, do not vest with the Company, by operation of law, the Participants on an outright basis hereby irrevocably, exclusively, perpetually and for the entire world assigns and transfers all Intellectual Property Rights vested in the Works including rights in any Exploitation thereof to the Company. To the extent that the assignment of rights, title and interest in the Intellectual Property in and to the Works in relation to future medium or mode of exploitation of the Works is not held valid by operation of law, notwithstanding the assignment of such rights in favour of the Company, the Participants hereby grant an irrevocable, exclusive, sub-licensable, perpetual license to the Company for such future medium or mode of exploitation of the Intellectual Property Rights in and to the Works as may be developed in the future, for the entire world. Notwithstanding the above, the Participants hereby agree that the Participant shall not assign or in any other manner transfer rights including the Intellectual Property Rights in and to the Works for such means and modes of exploitation of the Works which are not mentioned herein and are not presently known or in commercial use and therefore by operation of law are not deemed to have been assigned to the Company without offering for assignment such modes or means of exploitation of the rights including Intellectual Property Rights in and to the Works for the entire world and perpetuity to the Company. The Participants agrees and acknowledges that any form of assignment or transfer of any rights, title and interest in any such future modes and mean of exploitation of the Intellectual Property in and to the Works to any third party in breach of the obligation herein, anywhere in the world shall be null and void. Further, the Company may Exploit the rights including the Intellectual Property Rights in and to the Works at any time it chooses, it is expressly agreed by the Participant(s) that the rights granted hereunder shall not be subject to any reversion, including for purposes of non-exploitation of the Footage/ Works for a period of one (1) year from the date of its creation. Participants agree and acknowledge that the grant of rights herein or the use of the Works by the Company does not entitle Participants to receive any prize, gratification, compensation, monetary or otherwise from Company under any circumstances whatsoever. 

17. The Participants waive off their moral rights (or any analogous rights granted under the Copyright Act (Cap. 63)) with respect to the Works/participation in the Show, to the maximum extent permissible by law. Further, the Participants further agree and acknowledge that they shall not be entitled to any share in the revenues arising from exploitation of the Works. 

18. The Participants agree and acknowledge that the Channel(s)/ Company shall have the sole and exclusive right to edit, alter, modify and or use any Footage or Works in respect of the Participants’ Entry in any manner whatsoever it may deem fit and necessary at its sole discretion (including but not limited to as a part of the Show or any ancillary event related to the Show). 

19. The Participants hereby allow the use of their face, image, biographical data, name, signature, voice, photographs, audio, videos and audio-visual clips of the Participants and the family/relatives/friends/colleagues of the Participants (collectively, the “Likeness”) to appear on and be used in connection with the promotion of the Show on and through all media, all means of exploitations, distribution including, but not limited to, the press, internet and television. The Company reserves the right to use, in any manner whatsoever, in part or in whole the Likeness, Contest, Show and/or Show elements including without limitation in connection with any merchandise, tie-in, product or service of any kind, whether or not such use is in connection with the Show or the Company or the Channel without notice to the Participant and without any further compensation to the Participant. 

20. The Participants acknowledge and understand that their participation in the Show is at their own risk. The Company shall not be responsible for the Participant’s safety and continued good health during the Show, nor shall they be required to obtain any insurance in relation to the same for the Participant other than as required by applicable law. The Participants acknowledge and understand that their participation in the Show is at their own risk. 

21. Certain information relating to the Production House, the Company, the Show, Channel, may be disclosed to the Participants by the Production House and/or the Company which is confidential and/or proprietary in nature, and includes data, the format of the Contest and/or Show, the manner of selection/elimination etc., whether or not explicitly designated as "confidential", disclosed or to be disclosed (including information transmitted in written, electronic, magnetic or other form and also information transmitted orally, visually or by other means) and any and all information which may be developed or created, in whole or in part, directly or indirectly, from such information (altogether, “Confidential Information”). Confidential Information whether disclosed orally or in writing, is the property of Production House/ the Company, as the case may be, and is valuable, special and unique to the business of Production House/ the Company, as the case may be. The Participants (including the Winner) shall not discuss and/or disclose any information about the Contest, Show, the Channel, the Panel, performances of other participants in the Show with any third party; and also not disclose the names of the Participants eliminated in respective rounds of eliminations in the Show. 

22. The Participants shall always comply with the United States Foreign Corrupt Practices Act of 1977 and any amendments thereto (and any local or foreign equivalent, including the laws of the Territory), and the UK Bribery Act 2010. Further, the Participants shall also comply fully with all applicable sanctions and export control laws, including those of the United States, and those of the Territory. 

23. Company reserves all control in respect of the utilization and exploitation of the Footage/ Works. Each Participant hereby perpetually, irrevocably,  and throughout the universe waive to the maximum extent permitted under law (a) all so-called “moral rights” or “droit moral” rights and any similar or analogous rights; and (b) any right to royalties or other compensation arising from or related to the use of the Footage/ Works; (c) any right of action against Company and/or any other party arising from or based upon any use or Exploitation of the Footage/ Works; (d) any and all the right to restrain/ attempt to restrain or seek any injunctive relief against Company, its assignees/exhibitors in relation to the distribution, promotion, advertisement or exploitation of the Footage, and/or Works, and/or Contest, and/or Show. The Company are not obligated to broadcast, exploit, distribute, utilise the Footage/ Works, or parts thereof in any manner whatsoever. To the fullest extent permitted by applicable law, each Participant hereby waive all claims against Company, and any of its assignees/exhibitors in relation to the distribution, promotion, advertisement or exploitation of the Footage, and/or Works, and/or Contest, and/or Show for any indirect, special, incidental, punitive, and consequential damages in relation to the foregoing. 

24. The Participants acknowledge that in case any portion/clause of these Terms and Conditions is deemed invalid or becomes unenforceable or prohibited by the law of the relevant country, such portions shall be considered divisible and shall not be part of the consideration, and the remainder of these Terms and Conditions shall be valid and binding and of like effect as though such provision was not included herein. 

25. The Participant(s) and/or the Winner(s) hereby acknowledge and agree that the relationship between the Participant(s) and/or the Winner(s) and the Company is not a confidential, fiduciary, or other special relationship. Nothing herein shall be deemed to create a partnership, agency or an employer-employee relationship between the Participant and Company. 

26. The Participant(s) and/or the Winner(s) hereby agree to be bound by the Terms and Conditions and/or by any subsequent revisions of the Terms and Conditions (“Revised Terms”). The Company reserves the right to amend, add or delete any of the terms at its sole and absolute discretion without further notice. The Revised Terms (if any) shall supersede all prior Terms and Conditions. 

27. Participants agree to not host, display, upload, modify, publish, transmit, update or share any information that belongs to another person and to which the user does not have any right to, infringes any patent, trademark, copyright or other proprietary rights, impersonates another person, is invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging and/or violates any law for the time being in force, 

28. The Winner agree that if due to any reason, whatsoever, beyond the control of the Company their participation and/or anything in connection to their participation becomes impacted, the Company cannot be held responsible and/or liable for the same. 

29. The Winner shall do any and all acts and execute any and all documents in such manner as may be required by the Company in its sole and absolute discretion to protect, perfect or enforce any of the rights granted or confirmed to the Company to enable acceptance and handover the Prize, including image and rights releases if the Winner participates in publicity organised by the Company, failing which their selection shall be forfeited. 

30. The Participant(s) and the Winner shall fully indemnify, defend and hold harmless, the Company its affiliates, officers, directors, employees and agents (collectively the “Indemnified Persons”) from and against any and all losses, claims, actions, damages, liabilities, penalties, costs and expenses, (including without limitation reasonable attorneys’ fees and court fees) (collectively “Losses”), that the Indemnified Person may incur or suffer or likely to incur or suffer as a result of or arising out any (i) breach of any terms hereunder; (ii) wilful misconduct or negligent acts or omissions; (iii) any claims by any third party for any losses, damages, costs, expenses, injuries suffered by such third party, arising out of or in relation to the Participant(s) and/or the Winner during the Contest and/or Show. 

31. By participating in the Contest, it shall be construed that the Participant(s) have waived their right to raise any dispute with regard to the Contest and/or the Show and/or any decision of the Company, in any manner whatsoever. 

32. Notwithstanding the conflict of laws principle, these Terms and Conditions shall be construed in accordance with the laws of the Emirate of Dubai and the Federal laws of the United Arab Emirates. 

33. The Participants irrevocably agree that the Dubai courts shall have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, these Terms and Conditions, its subject matter or formation. 

34. To the fullest extent permitted by law, Company, including its affiliates, and each of their respective officers, directors, employees, third party service providers, and agents disclaim all warranties, express or implied, in connection with the Contest and/or Show. Company makes no warranties or representations about the accuracy or completeness of content on any websites linked to Company and assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies on Company, (ii) personal injury or property damage, of any nature whatsoever, resulting from the Participant’s participation in the Contest and/or Show; and/or (iii) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available by Company, whether based on warranty, contract, tort, or any other legal theory, and whether or not the Participant is advised of the possibility of such damages. The foregoing shall apply to the fullest extent permitted by law in the applicable jurisdiction. 

35. Limitations of Liability: By entering the contest, each Participant acknowledges and agrees that: (i) any and all disputes, claims and causes of action arising out of or in connection with the Contest, or Show, shall be resolved individually, without resort to any form of class action; and (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred and associated with entering the Contest(if any) notwithstanding the foregoing, under no circumstances will the Company be liable for any consequential, indirect, special punitive, or incidental damages or lost profits, whether direct or indirect, arising in any way whether in contract, tort (including negligence) or otherwise including based on your reliance of any interaction regarding the Contest and/or Show. Each Participant specifically waives their right to seek injunctive relief against Company and/or the Show to the maximum extent permitted by law. The Participant’s participation in the Contest shall be at such Participant’s sole risk. The Participant acknowledges that the representations and warranties, indemnities, limitation of liability, governing law, dispute resolution, warranty disclaimer shall survive the efflux of time.

ثانياً. آلية المشاركة:

يجب على الشركة نشر إعلان للمشاركة في المسابقة على القناة (القنوات)، على صفحات وسائل التواصل الاجتماعي الخاصة بالقناة على فيسبوك ("صفحة وسائل التواصل الاجتماعي")، و/أو بأي طريقة أخرى مثل قد تراه الشركة مناسبا، وفقاً لتقديرها الخاص. تبدأ المسابقة مبدئيا وتنتهي في التواريخ المحددة في العروض الترويجية للمسابقة ("الفترة"). سيتم إبلاغ الشركة بأي تغيير في الفترة عبر القنوات وصفحة وسائل التواصل الاجتماعي و/أو أي طريقة اتصال أخرى وفقاً لتقدير الشركة وحدها. يتم تنفيذ المسابقة وفقاً للمراحل ال 3 التالية:

المرحلة 1:

(1) تعلن الشركة عن دعوتها للمشاركة في المسابقة من خلال بث العرض الترويجي للمسابقة عبر قناة "آسيانيت إم إي" وصفحة وسائل التواصل الاجتماعي.

(2) للتسجيل والمشاركة في المسابقة، يجب على المشارك المهتم، الذي يستوفي معايير الأهلية (المفصلة في القسم (رابعاً) (١) أدناه) إرسال مشاركته عبر البريد الإلكتروني في النموذج و بالطريقة التي تطلبها الشركة، والتي يجب أن تتضمن مقطع فيديو للمشارك وهو يغني أي أغنية مالايالامية من اختياره ("الدخول"). يجب أن تكون مدة كل مشاركة 120 (مائة وعشرين) ثانية كحد أدنى. يجب تقديم المشاركة خلال المرحلة 1 من الفترة.

(3) لكي تكون المشاركة كاملة وصالحة (أ) يجب على المشارك (المشاركين) تقديم/ إرسال اسم المشارك ورقم الاتصال الذي يبدأ ب "971+" (أي رقم يبدأ برمز دولة الإمارات العربية المتحدة) وأي هذه المعلومات الأخرى التي قد تطلبها الشركة، كجزء من اتصال البريد الإلكتروني الذي يتم من خلاله إرسال الفيديو، و (ب) يجب أن يكون الشخص الفردي الذي يؤدي/يقدم العرض والشخص الذي يقدم المشاركة هو نفسه. يجب أن تكون المشاركة المقدمة سهلة الفهم وواضحة السمع.

(4) يجب إرسال جميع المشاركات عبر البريد الإلكتروني إلى star.marketing.me@disney.com. ويجوز للشركة تعديل محتوى أو تنسيق الإدخالات المطلوبة في أي وقت وفقاً لتقدير الشركة وحدها وإخطار المشاركين. يجب تقديم جميع المشاركات خلال المرحلة 1 من الفترة. لتجنب الشك، يتم توضيح أن أي مشاركة مقدمة بعد المرحلة 1 من الفترة لن يتم النظر فيها لأغراض المشاركة في المسابقة. ومع ذلك، يجوز للشركة، وفقاً لتقديرها الخاص، تمديد المرحلة 1 من الفترة. لن تكون الشركة مسؤولة و/أو ملزمة بأي شكل من الأشكال تجاه أي أفعال أو إغفال من قبل أي من مقدمي الخدمات من الأطراف الثالثة، بما في ذلك الفشل في تلقي/تسليم أي رسائل، البريد الإلكتروني بما في ذلك مشاكل الشبكة (بما في ذلك الشبكة غير الواضحة)، وتعطل الآلات، وانقطاع الشبكة و/أو تكاليف الإنترنت/الشبكة التي يفرضها مشغل الاتصالات/الجوال/الشبكة وما إلى ذلك والتي قد يتكبدها المشارك أثناء المشاركة في المسابقة. لتجنب الشك، تبدأ المرحلة الأولى من الفترة وتنتهي في التواريخ المحددة في العروض الترويجية للمسابقة. سيتم إبلاغ الشركة بأي تغيير في المرحلة الأولى من الفترة عبر القنوات وصفحة وسائل التواصل الاجتماعي و/أو أي وسيلة اتصال أخرى وفقًا لتقدير الشركة وحدها.

المرحلة 2:

(1) سيتم الحكم على جميع المشاركات المستلمة خلال المرحلة 1 من المسابقة من قبل اللجنة (المحددة أدناه)، ويجب على اللجنة اختيار مشارك واحد (واحد) كفائز ("الفائز").

(2) سيتم اختيار الفائز بناء على أداء المشارك في المشاركة.

(3) تحتفظ الشركة بالحق في تسجيل تفاعل الفائز مع اللجنة والجولات الإضافية من المسابقة (إن وجدت)، بما في ذلك عملية اختيار الفائز، في برنامج سمعي بصري واستخدامه عبر جميع الأوضاع والوسائط والأشكال، سواء كانت معروفة الآن أو تم ابتكارها لاحقا في جميع أنحاء العالم بأسره وإلى الأبد.

(4) إذا كان أي فائز غير قادر على أن يكون متاحاً فيما يتعلق بالمسابقة، تحتفظ الشركة بالحق في استبعاد هذا الفائز. يجب على اللجنة بعد ذلك، وفقا لتقديرها الخاص، اختيار 1 (واحد) مشارك ليكون الفائز، والذي سيكون مؤهلا للأداء في العرض.

المرحلة 3:

(١) سيفوز الفائز بفرصة لأداء خاص في العرض. تحتفظ الشركة بالحق في تحديد الحلقة و/أو الأداء القصير التي سيتم فيها دمج الأداء الخاص للفائز ويوافق الفائز دون قيد أو شرط على عدم إثارة أي نزاع في العلاقة مع نفسه. حيث يعني "الأداء القصير" المحتوى السمعي البصري الذي يضم الفائز، والذي لن يكون جزءا من العرض، ويمكن استخدامه من قبل الشركة و/أو الأطراف الثالثة للترويج للمسابقة و/أو العرض و/أو لأي استخدام معقول آخر.

الشروط العامة:

(1) لن تكون الشركة مسؤولة عن أي مشاركة مقدمة ولكن لم يتم استلامها أو تسجيلها لأي سبب من الأسباب. دون الحد من عمومية ما سبق، لن تكون الشركة مسؤولة عن الأخطاء الفنية من أي نوع كانت والتي تؤدي إلى عدم استلام المشاركة. لا يشكل أي استلام آلي للتأكيد دليلا على الاستلام الفعلي للمشاركة.

(2) سيتم النظر في مشاركة مؤهلة واحدة فقط تم استلامها من المشارك (المشاركين) المؤهلين، خلال المرحلة 1 من فترة المسابقة. يقر كل مشارك بأن المشاركة أصلية وليست ملفقة لأغراض المسابقة.

(3) يتم عرض تفاصيل جميع المشاركين والإدخالات وتقييمها من قبل الممثلين/العضو (الأعضاء) كما قد يتم تعيينهم من قبل الشركة ("اللجنة") بناء على المعيار (المعايير) التي تحددها اللجنة و/أو الشركة وفقاً لتقديرها الخاص. ستشمل المعايير تسليم الأغنية، ودرجة الصوت، ونقاء الصوت، والوضوح، والطلاقة، والإعداد. وسيضم الفريق مؤقتا السيد كانور شريف والسيد ميدهون جاياراج. تحتفظ الشركة بالحق، وفقا لتقديرها، في تغيير أعضاء اللجنة.

(4) في حالة قيام مشارك معين بإرسال أكثر من 1 (واحد) مشاركة، سيتم النظر في المشاركة الأولى فقط من قبل اللجنة. يكون قرار الشركة فيما يتعلق بتكوين اللجنة نهائياً وملزماً للمشاركين. علاوة على ذلك، يكون قرار اللجنة و/أو الشركة في تقييم المشاركات المقدمة من المشارك (المشاركين) نهائياً وملزماً لجميع المشاركين ولا يخضع لأي استئناف من أي طبيعة كانت. لا يحق للمشاركين الاعتراض و/أو الطعن في تكوين أو قرار اللجنة في أي وقت فيما يتعلق بإجراء الاختيار، إلى أقصى حد يسمح به القانون.

(5) يجب على الشركة و/أو دار الإنتاج التواصل مع الفائز ويطلب من الفائز القيام بما يلي: (1) التوقيع على مستند (مستندات) يحتوي على شروط وأحكام الأداء في العرض/الأداء القصير إذا طلبت الشركة و/أو دار الإنتاج ذلك جنبا إلى جنب مع المستندات الأخرى التي تطلبها الشركة و/أو دار الإنتاج وفقا لتقديرها، (2) جعل أنفسهم متاحين لتسجيل وإرسال مقاطع فيديو متعددة لأنفسهم وهم يغنون الأغاني المالايالامية لمراحل مختلفة من المسابقة/العرض باستخدام تسجيل الهاتف المحمول أو تسجيل مكالمات زوم أو بأي طريقة أخرى قد تبلغها الشركة من وقت لآخر ووفقاً لما تقرره الشركة وفقا لتقديرها الخاص، أثناء جدول المسابقة/ العرض، أو إذا دعت الحاجة إلى ذلك، (4) أن يكون حاضرا في الاستوديو المعين من قبل الشركة، في الوقت والتاريخ الذي أبلغت به الشركة. بالإضافة إلى ما سبق، يجب أن يكون الفائز حاضراً دائماً في الاستوديو في الوقت والتاريخ اللذين تحددهما الشركة و/أو دار الإنتاج. قد يؤدي التغيب عن الاستوديو في وقت ومكان يتم إبلاغ الفائز به إلى استبعاد هذا الفائز من العرض وفقاً لتقدير الشركة وحدها، وتحتفظ الشركة بالحق (ولكن ليس الالتزام) في اختيار فائز بديل.

(6) سيتم الاتصال بالمشارك (المشاركين) المختارين من خلال بيانات الاتصال المقدمة مع المشاركة. في حالة عدم تمكن المشارك الذي تم اختياره كفائز ("الفائز المختار") من التحقق من تفاصيل أهليته، يتم استبعاد المشارك المذكور من المسابقة، وفقاً لتقدير الشركة وحدها.

(7) في حالة تأجيل و/أو إلغاء هذا الإعلان عن الفائز (الفائزين) لأي سبب من الأسباب، لن تكون الشركة مسؤولة عن ولن يكون هناك إعلان عن الفائزين في أي منتدى عام أو غير ذلك. في حالة اعتقاد الشركة أن أيا من المشاركين غير مؤهل ليتم اختياره كفائز، فيجوز للشركة ممارسة سلطتها التقديرية لعدم اختيار أي فائز.

(8) لن تكون الشركة مسؤولة إذا لم يكن الفائز في القائمة المختصرة مدرجاً في تفاصيل الاتصال التي قدمها في المشاركات ونتيجة لذلك يفقد الفائز في القائمة المختصرة فرصة للمشاركة في العرض/المسابقة. ستقوم الشركة بالقيام بمحاولة واحدة (1) فقط للوصول إلى الفائز المختار. في حالة عدم التواصل والرد في غضون 2 (يومين) من تاريخ اتصال الشركة، يتم إبطال الاختيار، ولن تكون الشركة مسؤولة تجاه هذا الفائز المختار بأي شكل من الأشكال على الاطلاق. لتجنب الشك، يتم توضيح أنه إذا تم إبطال اختيار الفائز المختار بسبب عدم رده على اتصال الشركة، يحق للشركة (ولكن ليس التزام) باختيار المشارك المؤهل التالي كفائز.

(9) يوافق المشاركون ويقرون بأن الفائز الذي تم اختياره في هذه المسابقة لن يحق له المنافسة أو المشاركة في العرض كمتسابق، وسوف يتأهل فقط لواحد أو أكثر من العروض على النحو الذي تحدده الشركة.

(10) المشاركة في المسابقة لا تخول المشارك الحصول على أي جائزة أو مكافأة أو تعويض نقدي أو غير ذلك من الشركة تحت أي ظرف من الظروف.

(11) إذا انخرط أي مشارك (بما في ذلك الفائز والفائز في القائمة المختصرة) في أي سلوك تعتقد الشركة وفقا لتقديرها الخاص أنه يضر بروح المسابقة، فسيؤدي ذلك إلى استبعاد هذا المشارك من المسابقة وفرصة الأداء في العرض.

(12) يتحمل الفائز وحده مسؤولية جميع التكاليف التي يتكبدها الفائز، بما في ذلك السفر من وإلى الاستوديو والصعود إلى الطائرة والإقامة للأداء في العرض.

(13) تكون جميع قرارات الشركة نهائية وملزمة ولا تخضع لأي استئناف من أي نوع كان. إلى الحد المسموح به بموجب القوانين المعمول بها، يجب تفسير الدخول في المسابقة على أنه يعني أن المشارك (المشاركين) قد تنازل عن حقه في الاعتراض على أي قرار (قرارات) تتخذه الشركة.

(14) تحتفظ الشركة بالحق في سحب المسابقة و/أو العرض في أي وقت ولأي سبب من الأسباب.

(15) يقر المشاركون بأنهم اختاروا طواعية المشاركة في المسابقة بمحض إرادتهم وأنهم على استعداد لتحمل جميع المخاطر والتكاليف والعواقب الناشئة عن هذه المشاركة في المسابقة و/أو العرض.

(16) لن يكون للمشاركين أي مطالبة ضد الشركة أو اللجنة أو دار الإنتاج أو المشاركين الآخرين لأي سبب من الأسباب. لن تكون الشركة أو البائعين المرتبطين بالمسابقة و/أو العرض مسؤولين عن أي احتمال من هذا القبيل ولا يحق للمشارك (المشاركين) المطالبة بأي تعويض من الشركة أو اللجنة أو دار الإنتاج أو مشاركين آخرين.

(17) لتجنب الشك، يتم توضيح أن الاختيار النهائي للمشاركين من قبل اللجنة/الشركة يجب أن يكون نهائيا وملزما لجميع المشاركين. في حالة وجود أي خطأ أو سوء فهم أو نزاع يتعلق بأي جزء من عملية الاختيار للتأهل كفائز، يكون قرار الشركة نهائيا وملزما. لن تكون الشركة مسؤولة عن أي عدم اختيار للمشارك بسبب أخطاء فنية في المشاركة والفشل/عدم القدرة على تقديم المشاركة لأي سبب من الأسباب.

ثالثاً. الموافقة على شراء المعلومات الشخصية

1. فيما يتعلق بالمشاركة في المسابقة التي تنظمها الشركة، فإنك تقدم بموجب هذا موافقتك على جمع معلوماتك الشخصية وتخزينها واستخدامها ونقلها والاحتفاظ بها و البيانات أو المعلومات الشخصية الحساسة على النحو المحدد بموجب القوانين المعمول بها، والتي قد يتم تعديلها من وقت لآخر (يشار إليها مجتمعة باسم "المعلومات الشخصية")، والتي تخضع لها المعلومات الشخصية، سياسة خصوصية البيانات الشخصية للشركة متاحة على https://www.disneystar.com/legal-terms-policies/terms/contest-terms-conditions/privacy-policy-star-singer-contest-asianet-middle-east-1/)

رابعاً. القواعد العامة

(1) أهلية المشاركين

للمشاركة في المسابقة، يجب على المشارك (المشاركين) الالتزام بما يلي:

1. يجب أن يكون المشارك (المشاركون) بارعا في الغناء بالطريقة المالايالامية وأن يكون لديهم أيضا طلاقة في المحادثة في اللغة.
2. يجب أن يكون المشاركون مقيمين فرديين في الإقليم ويجب أن يقدموا دليلا صالحا على الإقامة في الإقليم، عندما تطلب الشركة ذلك، وليسوا مواطنين في أي من البلاد الخاضعة للعقوبات (حيث تشمل الدول الخاضعة للعقوبات بيلاروسيا وبورما (ميانمار) وشبه جزيرة القرم وكوبا وجمهورية الكونغو الديمقراطية وإيران وساحل العاج وليبيريا وكوريا الشمالية والصومال والسودان وسوريا وزيمبابوي وأي الدول الأخرى التي تظهر ضدها العقوبات الاقتصادية الأمريكية أو قد تحتفظ بها حكومة الولايات المتحدة، كما قد يتم تحديثها من وقت لآخر)
3. المسابقة مخصصة حصريا للمشاركين الأفراد وليست مفتوحة للمشاركة من قبل المجموعات أو الفرق الموسيقية.
4. يقر المشارك (المشاركون) ويضمنون أنهم ليسوا مدرجين في أي من قائمة المواطنين المعينين بشكل خاص والأشخاص المحظورين الصادرة عن مكتب الأصول الأجنبية التابع لوزارة الخزانة الأمريكية.
5. يجب أن يكون عمر المشارك (المشاركين) 18 (ثمانية عشر) عاما أو أكثر في تاريخ بدء الفترة.
6. المسابقة ليست مفتوحة لموظفي الشركة (الدائمين أو المتعاقدين) أو أي وكالة إعلانات ذات صلة أو أي وكالة أخرى أو بائع طرف ثالث تم تعيينه من وقت لآخر، أو موظفي الرعاة الرئيسيين وأفراد أسرهم المباشرين.
7. يتم توضيح أن المشارك (المشاركين) الذين شاركوا سابقا أو يشاركون حاليا في برامج الواقع القائمة على الغناء التي يتم بثها على أي قناة فضائية، سيحتاجون إلى إبلاغ الشركة بشكل إلزامي بهذه المشاركة قبل المشاركة في هذه المسابقة. القرار النهائي بشأن اختيار هذا المشارك (المشاركين) للمسابقة والعرض يجب أن يعود إلى الشركة.
8. تحتفظ الشركة بالحق في التحقق من أهلية جميع المشاركين. قد يطلب من المشاركين تقديم الوثائق الداعمة اللازمة في نسخة مصدقة أو أصلية (أي شهادة الميلاد أو جواز السفر) و/أو أي دليل مستندي آخر قد تطلبه الشركة لتأكيد أهلية المشاركين في أي مرحلة من مراحل المسابقة و/أو العرض.
9. في حالة اكتشاف أن المشارك ينتهك أي قوانين معمول بها أو عدم امتثال المشارك (المشاركين) لأي وجميع الشروط المنصوص عليها هنا أو كما قد تحددها الشركة من وقت لآخر، في أي وقت خلال المسابقة، تحتفظ الشركة بالحق في استبعاد المشارك على الفور ويعتبر دخوله ملغيا وباطلا. لن يكون هذا المشارك غير المؤهل مؤهلا للمضي قدما في المسابقة و/أو العرض.
10. يجب ألا يخضع المشارك (المشاركون) لأي قيود، أو أن يكون لديهم ترتيب أو عقد يمنع المشارك (المشاركين) من المشاركة في المسابقة و/أو العرض. يجب أن يكون المشارك (المشاركون) مؤهلين قانونا، وفقا لقوانين الولاية القضائية التي يخضع لها المشارك (المشاركون)، لإبرام عقد.

(١) يجب على المشارك (المشاركين) التأكد من أن المشاركة أصلية ولائقة وليست غير أخلاقية أو فاحشة أو تشهيرية أو مهينة أو مسيئة أو غير حساسة أو تشهيرية لأي شخص ولا تنتهك الحق في الخصوصية لأي شخص ولا تحتوي على أي عري أو محتوى محظور. بالإضافة إلى ذلك، يجب أن تكون خلفية المشاركة واضحة من الرموز السياسية أو العروض العلنية أو أي شيء يمكن اعتباره مسيئا، ويجب ألا يرتدي المشاركون ملابس تحتوي على أي بيان (عبارات) أو رمز (رموز) مثير للجدل. يوافق المشارك (المشاركون) بموجب هذا ويؤكد أن المشاركة تتوافق مع جميع القوانين المعمول بها في الإقليم وتوافق على الحفاظ على تعويض الشركة و/أو كيانات الشركة و/أو الرعاة عن أي مطالبة بذلك.

(٢) يوافق المشارك (المشاركون) على أن المشاركة يجب أن تكون خالية من أي فيروسات/حصان طروادة (شيفرات برامج التجسس)/برامج التجسس/البرامج الضارة أو أي برنامج من هذا القبيل قد يضر بأجهزة الكمبيوتر/النظام/الخوادم الخاصة بالمستلم وما إلى ذلك أو يحتوي على أي روابط تهدف إلى الإضرار و/ أو توفير الوصول غير المصرح به إلى جهاز الكمبيوتر الخاص بالمستلم والبيانات الموجودة فيه.

(3) يقر المشارك للشركة بأن المشارك حر ومؤهل للدخول في المسابقة، المالك القانوني والمستفيد الوحيد والمطلق وغير المرهون لجميع الحقوق الممنوحة للشركة فيما يتعلق بالمشاركة والأعمال وأي مواد أخرى قد تقدمها للشركة، لا يخضع لأي إعاقة أو تقييد أو حظر، سواء كان قانونيا أو تعاقديا أو جسديا أو عقليا أو طبيا أو غير ذلك، مما قد يمنع المشارك من أداء أو مراعاة أي من الالتزامات التي تم التعهد بها أو من الوفاء بأي من الشروط والأحكام المنصوص عليها هنا.

(رابعاً) شروط إضافية

1. توافق وتقر بإعفاء الشركة من أي التزامات مالية تجاهك مقابل مشاركتك في المسابقة. ومع ذلك، فإنك تدرك وتقر أن مزود خدمة الاتصالات أو مزود خدمة الإنترنت الخاص بك قد يفرض عليك رسومًا معينة مقابل استخدام خدماتهم القابلة للتطبيق فيما يتعلق بمشاركتك في المسابقة، والتي ستتحملها أنت وحدك. توصي الشركة بالتحقق مع مزود الخدمة الخاص بك لمعرفة جدول الأسعار التي قد تنطبق.

٢. تعفي الشركة مسؤوليتها تجاه المشاركين إلى الحد الأقصى المسموح به قانونًا، بما في ذلك، على سبيل المثال لا الحصر، فيما يتعلق بأي إصابة أو مرض أو عدوى أو إصابة أو وفاة أو صدمة عاطفية و/أو عقلية للمشارك (المشاركين) بأي طريقة أو سبب فيما يتعلق بالمسابقة و/أو العرض و/أو أي جانب يتعلق بعملية الاختيار.

٣. يقر جميع المشاركين بأن هناك درجة معينة من الخيال متأصلة في العرض. نظرًا للطبيعة المذكورة أعلاه للعرض، قد تكون هناك مقاطع في العرض قد تصور المشاركين بطريقة غير مواتية. يتفهم المشاركون تمامًا ويوافقون على هذا الجانب من العرض ولن يتخذوا أي إجراء (قانوني أو غير ذلك) ضد اللجنة أو الشركة أو شركة الإنتاج أو الرعاة أو أي مشاركين آخرين فيما يتعلق بتصويرهم (إن وجد) في العرض، إلى أقصى حد يسمح به القانون.

٤. تحتفظ الشركة بحق إنهاء/تأجيل العرض و/أو المسابقة في أي وقت دون أي إشعار مسبق أو إشعار للجمهور/المشاركين. لا تلتزم الشركة بأي شكل من الأشكال بتعويض أي شخص أو أشخاص شاركوا في عملية الفرز الأولي/الاختيار و/أو استيعاب أي شخص أو أشخاص تم ترشيحهم/اختيارهم.

٥. يجب أن يكون المشاركون في حالة بدنية وعاطفية وعقلية مناسبة للمشاركة في المسابقة/العرض. يؤكد المشاركون أيضاً أنهم لائقون طبياً للسفر في أي مكان وفي أي وقت وأنهم لا يعانون من أي نوع من سوء الصحة أو المرض أو العلة (العلاجات) والمشاكل الصحية التي قد تجعلهم غير قادرين على المشاركة في المسابقة و/أو العرض أو التي قد تشكل خطورة صحية على اللجنة أو المشاركين الآخرين أو أي ممثلين آخرين للشركة أو شركة الإنتاج.

٦. تحتفظ الشركة أيضًا بحق تغيير عملية الاختيار للمسابقة و/أو صيغة المسابقة (بشكل عام كما تراه مناسبًا) المذكورة هنا و/أو متطلبات و/أو معايير الأهلية للعرض، دون أي إشعار مسبق للمشاركين و/أو الجمهور. سيكون من مسؤولية المشارك (المشاركين) الوحيدين التحقق من الشروط والأحكام على الموقع الإلكتروني للشركة وصفحة الوسائط الاجتماعية.

٧. يجب على المشاركين تقديم مشاركاتهم طواعية وعلى مسؤوليتهم الخاصة فقط ويجب عدم قبول أي مشاركات بالوكالة.

٨. في حالة وجود أي خطأ أو سوء تفاهم أو نزاع بشأن أي جزء من المسابقة و/أو العرض و/أو عملية الاختيار للتأهل للمسابقة، يكون قرار الشركة نهائيًا وملزمًا لكل مشارك.

٩. لن يقوم المشاركون، أثناء مشاركتهم في المسابقة (بما في ذلك أثناء الاختبارات) و/أو العرض/المقاطع القصيرة، كما هو الحال، بإجراء أي إيماءات/أفعال فاحشة، أو بيانات غير أخلاقية أو فاحشة أو مهينة أو تشهيرية لأي حدث أو أي شخص على قيد الحياة أو ميت، أو أي شيء من طبيعة إعلانية. يجب على جميع المشاركين التأكد من أن أفعالهم وأعمالهم ومشاركاتهم لا تحتوي على أي عنصر مما يلي: (أ) غير أخلاقي بطبيعته، و/أو (ب) خطر على الحياة أو يضر بصحة وسلامة ولياقة أي شخص و/أو (ج) ينتهك أي براءة اختراع أو علامة تجارية أو حقوق طبع ونشر أو حقوق ملكية أخرى، أو يخالف أي قانون ساري المفعول.

١٠. لا يجوز للمشاركين (بما في ذلك الفائز) منح أو نشر أي مقابلات أو نشر أي معلومات/تفاصيل أخبار أو إصدار أي نوع آخر من البيانات أو المعلومات العامة بشأن مشاركتهم في العرض و/أو المسابقة دون موافقة الشركة المكتوبة المسبقة في كل حالة.

11. يجب على المشاركين (بما في ذلك الفائز) الامتناع عن القيام بأي عمل، سواء بشكل مباشر أو غير مباشر، من شأنه أن يسيء إلى الشركة و/أو الشركات التابعة لها، أو القناة (القنوات)، أو اللجنة، أو شركة الإنتاج، أو المسابقة و/أو العرض علنًا أو يسيء إلى أي من السابقين، أو يسيء إلى أي مجتمع أو أخلاق عامة، وفي جميع العروض العامة، يجب على المشاركين (بما في ذلك الفائز) استخدام الحكمة في السلوك العام واختيار اللغة لخلق جو يكون مناسباً لتصوير و/أو الترويج للعرض.
12. إذا تم منع تشغيل المسابقة (بما في ذلك دون قيود تشغيل النظام الهاتفي، والشبكات الإنترنت وما إلى ذلك) و/أو العرض أو التسجيل أو البث لأي/كل حلقات بسبب الحرب، والإجراء الصناعي، وفشل القمر الصناعي، أو الفيضان أو أي فعل من الله، أو الوباء/العدوى أو بسبب قانون قابل للتطبيق أو أي عمل خارج عن نطاق السيطرة المعقولة للشركة ("القوة القاهرة") التي تستمر لمدة 15 (خمسة عشر) يومًا، يجوز للشركة، وفقًا لتقديرها الخاص، إلغاء كل أو أي جزء من المسابقة و/أو العرض و/أو مشاركة المشاركين على الفور ويعتبر هذا القرار نهائيًا وملزمًا للمشاركين.
13. تحتفظ الشركة بحقوق إنهاء المسابقة و/أو العرض مؤقتًا في أي وقت، مع أو بدون إشعار، لأي سبب من الأسباب.
14. لا شيء في هذه الشروط والأحكام يفرض التزامًا على الشركة بدمج أو استخدام الأعمال و/أو اللقطات (المحددة أدناه) في العرض أو استعمال المسابقة و/أو العرض بطريقة أخرى.
15. يوافق المشاركون على وجه التحديد، ويسمحون، ويمنحون للشركة أو أي طرف مفوض من قبلها بتسجيل (لقطات صوتية بصرية أو صوتية أو فيديو) لعملية المشاركة/ الأداء، بما في ذلك الأعمال والعروض، وأي تفاعل للمشاركين مع الشركة، أو اللجنة أو الزملاء المشاركين أو أي ممثل للشركة، إن وجد، للمشارك (المشاركين) الذين تم التقاطهم خلال المسابقة و/أو العرض أو أي جزء منه أو أي سلسلة ذات صلة بالتسجيلات الصوتية وتسجيلات الفيديو التي تم تصويرها أثناء المسابقة و/أو العرض على الفيلم أو الشريط أو الوسائط الإلكترونية أو الرقمية الأخرى وتشمل تسجيل أي أسئلة شخصية أو محادثات تتعلق بالحياة الشخصية للمشاركين ("اللقطات") ويوافق المشارك على أن الشركة قد تستخدم اللقطات كما تراها مناسبة في أي مكان في العالم في أي وقت الآن أو في المستقبل، بما في ذلك على سبيل المثال لا الحصر للترويج للعرض. لتجنب الشك، فإن جميع الحقوق في اللقطات تؤول حصريًا إلى الشركة في جميع أنحاء العالم إلى الأبد وتحق الشركة حق استغلالها بالطريقة التي تراها مناسبة.
16. نظرًا للعهود المتبادلة بين كل مشارك، يتفق المشاركون ويقرون ويضمنون أن جميع حقوق الملكية الفكرية في الأعمال تظل ملكية حصرية للشركة منذ لحظة نشأتها، طوال فترة وجودها، في كل جزء من العالم. إلى الحد الذي لا تؤول فيه حقوق الملكية الفكرية أو أي حقوق أو ملكية أو عنوان في الأعمال للشركة، بموجب القانون، يقوم المشاركون على أساس مباشر وبشكل لا رجعة فيه وبشكل حصري وإلى الأبد وفي جميع أنحاء العالم بتعيين ونقل جميع حقوق الملكية الفكرية المسندة في الأعمال بما في ذلك الحقوق في أي استغلال لها إلى الشركة. إلى الحد الذي لا يعتبر فيه التنازل عن الحقوق والملكية والمصلحة في الملكية الفكرية في المصنفات وإليها فيما يتعلق بالوسيط أو طريقة استغلال المصنفات المستقبلية صالحا من قبل تطبيق القانون، على الرغم من التنازل عن هذه الحقوق لصالح الشركة، يمنح المشاركون بموجب هذا ترخيصا دائما غير قابل للإلغاء وحصريا وقابلا للترخيص من الباطن إلى شركة لمثل هذه الوسيلة أو طريقة استغلال حقوق الملكية الفكرية في وإلى الأعمال التي قد يتم تطويرها في المستقبل، للعالم بأسره. على الرغم مما تقدم، فإن المشاركين يوافقون على هذا بأن المشارك لن يتنازل أو ينقل بأي طريقة أخرى حقوقًا بما في ذلك حقوق الملكية الفكرية في الأعمال وعليها لهذه الوسائل وأساليب استغلال الأعمال التي لم يتم ذكرها هنا والتي لا يعرفها أي شخص حاليًا أو لم تكن ذات استخدام تجاري وبالتالي فهي بحكم القانون لا تعتبر قد تم التنازل عنها للشركة دون عرض مثل هذه الوسائل أو طرق استغلال الحقوق بما في ذلك حقوق الملكية الفكرية في الأعمال وعليها على مستوى العالم وإلى الأبد للشركة. يوافق المشاركون ويقرون بأن أي شكل من أشكال التنازل أو نقل أي حقوق أو ملكية أو مصلحة في أي من هذه الوسائل المستقبلية وطرق استغلال الملكية الفكرية في الأعمال لأي طرف ثالث يخرق الالتزام الوارد هنا، في أي مكان في العالم سيكون باطلاً ولاغيً. علاوة على ذلك، يجوز للشركة استغلال الحقوق بما في ذلك حقوق الملكية الفكرية في الأعمال وعليها في أي وقت تختاره، ويوافق المشاركون صراحةً على أن الحقوق الممنوحة بموجب هذا لن تخضع لأي عودة، بما في ذلك أغراض عدم استغلال اللقطات/الأعمال لمدة عام (1) واحد من تاريخ إنشائها. يوافق المشاركون ويقرون بأن منح الحقوق الواردة هنا أو استخدام الشركة للأعمال لا يخول المشاركين الحصول على أي جائزة أو مكافأة أو تعويض، نقدي أو غير ذلك، من الشركة تحت أي ظرف كان.
17. يتنازل المشاركون عن حقوقهم المعنوية (أو أي حقوق مماثلة ممنوحة بموجب قانون حقوق الطبع والنشر (الفصل 63)) فيما يتعلق بالأعمال/المشاركة في المعرض، إلى أقصى حد يسمح به القانون. علاوة على ذلك، يوافق المشاركون ويقرون أيضاً بأنه لا يحق لهم الحصول على أي حصة في الإيرادات الناشئة عن استغلال الأعمال.
18. يوافق المشاركون ويقرون بأن القناة (القنوات)/الشركة لها الحق الوحيد والحصري في تحرير أو تغيير أو تعديل أو استخدام أي لقطات أو أعمال فيما يتعلق بمشاركة المشاركين بأي طريقة قد تراها مناسبة وضرورية وفقا لتقديرها الخاص (بما في ذلك على سبيل المثال لا الحصر كجزء من العرض أو أي حدث إضافي متعلق بالعرض).
19. يسمح المشاركون بموجب هذا باستخدام وجوههم وصورهم وبيانات السيرة الذاتية والاسم والتوقيع والصوت والصور الفوتوغرافية ومقاطع الفيديو والمقاطع السمعية والبصرية للمشاركين وعائلة/أقارب/أصدقاء/زملاء المشاركين (يشار إليهم مجتمعين باسم "عناصر التشابه") للظهور واستخدامها فيما يتعلق بالترويج للعرض على ومن خلال جميع وسائل الإعلام، وجميع وسائل الاستغلال، والتوزيع بما في ذلك، على سبيل المثال لا الحصر، الصحافة والإنترنت والتلفزيون. تحتفظ الشركة بالحق في استخدام، بأي شكل من الأشكال، جزئيا أو كليا عناصر التشابه و/أو المسابقة و/أو العرض و/أو العرض بما في ذلك على سبيل المثال لا الحصر فيما يتعلق بأي بضائع أو منتج أو خدمة من أي نوع، سواء كان هذا الاستخدام مرتبطا بالعرض أو الشركة أو القناة أم لا دون إشعار المشارك ودون أي تعويض إضافي للمشارك.
20. يقر المشاركون ويفهمون أن مشاركتهم في المعرض تكون على مسؤوليتهم الخاصة. لن تكون الشركة مسؤولة عن سلامة المشارك وصحته الجيدة المستمرة أثناء العرض، ولن يطلب منها الحصول على أي تأمين فيما يتعلق بذلك للمشارك بخلاف ما يقتضي به القانون المعمول به. يقر المشاركون ويفهمون أن مشاركتهم في المعرض تكون على مسؤوليتهم الخاصة.
21. قد يتم الكشف عن بعض المعلومات المتعلقة بدار الإنتاج أو الشركة أو العرض أو القناة للمشاركين من قبل دار الإنتاج و/أو الشركة التي تكون سرية و/أو مملوكة بطبيعتها، وتتضمن البيانات، وشكل المسابقة و/أو العرض، وطريقة الاختيار/الاستبعاد وما إلى ذلك، سواء تم تحديدها صراحة على أنها "سرية" أم لا، والكشف عنها أو الإفصاح عنها (بما في ذلك المعلومات المرسلة كتابياً أو إلكترونياً أو مغناطيسياً أو أي شكل آخر وكذلك المعلومات المنقولة شفهياً أو بصرياً أو بوسائل أخرى) وأي وجميع المعلومات التي قد يتم تطويرها أو إنشاؤها، كلياً أو جزئياً، بشكل مباشر أو غير مباشر، من هذه المعلومات (إجمالا، "المعلومات السرية"). المعلومات السرية سواء تم الكشف عنها شفهيا أو كتابيا، هي ملك لدار الإنتاج/الشركة، حسب مقتضى الحال، وهي قيمة وخاصة وفريدة من نوعها لأعمال دار الإنتاج/الشركة، حسب الحالة. لا يجوز للمشاركين (بما في ذلك الفائز) مناقشة و/أو الكشف عن أي معلومات حول المسابقة أو العرض أو القناة أو اللجنة أو أداء المشاركين الآخرين في العرض مع أي طرف ثالث، وكذلك عدم الكشف عن أسماء المشاركين الذين تم إقصاؤهم في جولات الإقصاء المعنية في العرض.
22. يجب على المشاركين الامتثال دائما لقانون الممارسات الأجنبية الفاسدة في الولايات المتحدة لعام 1977 وأي تعديلات عليه (وأي مكافئ محلي أو أجنبي، بما في ذلك قوانين الإقليم)، وقانون الرشوة في المملكة المتحدة لعام 2010. وعلاوة على ذلك، يمتثل المشاركون أيضا امتثالا تاما لجميع قوانين العقوبات والرقابة على الصادرات المعمول بها، بما في ذلك قوانين الولايات المتحدة وقوانين الإقليم.
23. تحتفظ الشركة بحقوقها فى السيطرة فيما يتعلق باستخدام واستغلال اللقطات/الأعمال. يتنازل كل مشارك بموجب هذا بشكل دائم وغير قابل للنقض وفي جميع أنحاء العالم إلى الحد الأقصى المسموح به بموجب القانون (أ) عن جميع ما يسمى "الحقوق المعنوية" أو الحقوق "المعنوية القانونية" وأي حقوق مماثلة أو مشابهة، و (ب) أي حق في الإتاوات أو التعويضات الأخرى الناشئة عن أو المتعلقة باستخدام اللقطات/الأعمال، (ج) أي حق في اتخاذ إجراء ضد الشركة و/أو أي طرف آخر ينشأ عن أو بناء على أي استخدام أو استغلال للقطات/الأعمال، (د) أي وكل الحق في تقييد/ محاولة تقييد أو السعي للحصول على أي تعويض زجري ضد الشركة والمتنازل لهم/العارضين فيما يتعلق بتوزيع أو ترويج أو الإعلان أو استغلال اللقطات و/أو الأعمال و/أو المسابقة و/أو العرض. الشركة ليست ملزمة ببث أو استغلال أو توزيع أو استخدام اللقطات/الأعمال أو أجزاء منها بأي شكل من الأشكال. إلى أقصى حد يسمح به القانون المعمول به، يتنازل كل مشارك بموجب هذا عن جميع المطالبات ضد الشركة وأي من المتنازل لهم/العارضين فيما يتعلق بتوزيع أو ترويج أو إعلان أو استغلال اللقطات و/أو الأعمال و/أو المسابقة، و/أو إظهار أي أضرار غير مباشرة، خاصة، عرضية، عقابية، أو تبعية فيما يتعلق بما سبق.
24. يقر المشاركون بأنه في حالة اعتبار أي جزء/بند من هذه الشروط والأحكام غير صالح أو أصبح غير قابل للتنفيذ أو محظور بموجب قانون البلد المعني، تعتبر هذه الأجزاء قابلة للقسمة ولن تكون جزءا من الاعتبار، وتكون بقية هذه الشروط والأحكام صالحة وملزمة وذات تأثير مماثل كما لو لم يتم تضمين هذا الحكم هنا.
25. يقر المشارك (المشاركون) و/أو الفائز (الفائزون) بموجب هذا ويوافقون على أن العلاقة بين المشارك (المشاركين) و/أو الفائز (الفائزين) والشركة ليست علاقة سرية أو ائتمانية أو علاقة خاصة أخرى. لا يوجد في هذه الوثيقة ما يعتبر أنه ينشئ شراكة أو وكالة أو علاقة بين صاحب العمل والموظف بين المشارك والشركة.
26. يوافق المشاركون و/أو الفائزون على الالتزام بشروط والأحكام و/أو بأي تعديلات لاحقة على الشروط والأحكام ("الشروط المعدلة"). تحتفظ الشركة بحق تعديل أو إضافة أو حذف أي من الشروط وفقًا لتقديرها الخاص دون إشعار مسبق. تسري الشروط المعدلة (إذا وجدت) على جميع الشروط والأحكام السابقة.
27. يتفق المشاركون على عدم استضافة أو عرض أو تحميل أو تعديل أو نشر أو إرسال أو تحديث أو مشاركة أي معلومات تخص شخصًا آخر وليس للمستخدم أي حق فيها، تنتهك أي براءة اختراع أو علامة تجارية أو حقوق نشر أو حقوق ملكية أخرى، أو تنتحل شخصية شخص آخر، أو تعتبر تدخلاً في خصوصية شخص آخر، أو كراهية، أو عنصرية، أو معارضة من الناحية العرقية، أو مهينة و/أو تنتهك أي قانون ساري المفعول.
28. يتفق الفائز أنه إذا تأثرت مشاركته و/أو أي شيء يتعلق بمشاركته بسبب أي سبب، مهما كان، خارج عن سيطرة الشركة، فلا يمكن تحميل الشركة المسؤولية و/أو المساءلة عنها.
29. يجب على الفائز القيام بأي وجميع الأعمال وتنفيذ أي وجميع المستندات بالطريقة التي قد تطلبها الشركة وفقاً لتقديرها الخاص المطلق لحماية أو إكمال أو إنفاذ أي من الحقوق الممنوحة أو المؤكدة للشركة لتمكين قبول وتسليم الجائزة، بما في ذلك الإصدارات الخاصة بالصور والحقوق إذا شارك الفائز في الدعاية التي تنظمها الشركة، وإذا فشل في ذلك، يتم إلغاء اختياره.
30. يجب على المشارك (المشتركين) والفائز تعويض الشركة التابعة لها ومسؤوليها ومديريها وموظفيها ووكلائها (يشار إليهم إجمالاً بـ "الأشخاص المعوضين") والدفاع عنها وحمايتها من أي وجميع الخسائر والمطالبات والإجراءات والأضرار والمسؤوليات والعقوبات والتكاليف والنفقات، (بما في ذلك، على سبيل المثال لا الحصر، أتعاب المحاماة المعقولة وتكاليف المحاكم) (يُطلق عليهم مجتمعين "الخسائر")، التي قد يتكبدها أو يعاني منها أو من المحتمل أن يتكبدها أو يعاني منها نتيجةً لأي (١) خرق لأي شروط بموجب هذه الوثيقة، (٢) سوء السلوك المتعمد أو الأخطاء أو الإغفالات الإهمال، (٣) أي مطالبات من قبل أي طرف ثالث لأي خسائر أو أضرار أو تكاليف أو نفقات أو إصابات يتعرض لها هذا الطرف الثالث، الناشئة عن أو فيما يتعلق بالمشاركين و/أو الفائز أثناء المسابقة و/أو العرض.
31. بمشاركة الفرد في المسابقة، يُفسّر أنه قد تنازل عن حقه في رفع أي نزاع فيما يتعلق بالمسابقة و/أو العرض و/أو أي قرار من الشركة، بأي طريقة كانت.
32. على الرغم من مبدأ تضارب القوانين، يتم تفسير هذه الشروط والأحكام وفقًا لقوانين إمارة دبي والقوانين الفيدرالية لدولة الإمارات العربية المتحدة.
33. يوافق المشاركون بشكل لا رجعة فيه على أن تكون المحاكم في دبي هي صاحبة الاختصاص الحصري لتسوية أي نزاع أو مطالبة ينشأ عن أو فيما يتعلق بهذه الشروط والأحكام، أو موضوعها أو تكوينها.
34. إلى أقصى حد يسمح به القانون، تتنصل الشركة، بما في ذلك الشركات التابعة لها، وكل من مسؤوليها ومديريها وموظفيها ومقدمي خدمات الطرف الثالث والوكلاء من جميع الضمانات، الصريحة أو الضمنية، فيما يتعلق بالمسابقة و/أو العرض. لا تقدم الشركة أي ضمانات أو إقرارات حول دقة أو اكتمال المحتوى على أي مواقع ويب مرتبطة بالشركة ولا تتحمل أي مسؤولية عن أي (١) أخطاء أو عدم دقة في الشركة، (٢) إصابة شخصية أو تلف في الممتلكات، من أي نوع كان، ناتج عن مشاركة المشارك في المسابقة و/أو العرض، و/أو (٣) أي أخطاء أو سهو في أي محتوى أو عن أي خسارة أو ضرر من أي نوع يتم تكبده نتيجة لاستخدام أي محتوى تم نشره أو نقله أو إتاحته بطريقة أخرى من قبل الشركة، سواء كان ذلك بناء على الضمان أو العقد أو الضرر أو أي نظرية قانونية أخرى، وسواء تم إخطار المشارك بإمكانية حدوث مثل هذه الأضرار أم لا. وينطبق ما سبق إلى أقصى حد يسمح به القانون في الولاية القضائية المعمول بها.

٣٥. حدود المسؤولية: من خلال المشاركة في المسابقة، يقر كل مشارك ويوافق على ما يلي: (١) يجب حل أي وجميع النزاعات والمطالبات وأسباب الدعوى الناشئة عن أو فيما يتعلق بالمسابقة أو العرض بشكل فردي، دون اللجوء إلى أي شكل من أشكال الدعوى الجماعية، و (٢) تقتصر أي وجميع المطالبات والأحكام على التكاليف الفعلية النثرية المتكبدة والمرتبطة بدخول المسابقة (إن وجدت) على الرغم مما سبق، لن تكون الشركة مسؤولة تحت أي ظرف من الظروف عن أي أضرار تبعية أو غير مباشرة أو عقابية خاصة أو عرضية أو أرباح مفقودة، سواء كانت مباشرة أو غير مباشرة، تنشأ بأي شكل من الأشكال سواء في العقد، أو ضرر (بما في ذلك الإهمال) أو بما في ذلك بناء على اعتمادك على أي تفاعل يتعلق بالمسابقة و/أو العرض. يتنازل كل مشارك على وجه التحديد عن حقه في طلب تعويض زجري ضد الشركة و/أو العرض إلى أقصى حد يسمح به القانون. تكون مشاركة المشارك في المسابقة على مسؤولية هذا المشارك وحده. يقر المشارك بأن الإقرارات والضمانات والتعويضات وحدود المسؤولية والقانون الحاكم وحل النزاعات وإخلاء المسؤولية عن الضمان يجب أن تظل سارية مع مرور الوقت.
